Terms and Conditions

Welcome to Codians.ai ("Platform", "We", "Us", "Our"). By accessing, browsing, registering, or using Codians.ai, you ("User", "Client", "Codians", "Freelancer", "Talent", "Reviewer") agree to comply with and be bound by the following Terms and Conditions ("Terms"). Please read them carefully before using the Platform.

If you do not agree to these Terms, you must not use the Platform.

1. Definitions

  • "Client" means any business, company, or individual posting projects, jobs, or resource requirements on Codians.ai.
  • "Codian" / "Talent" / "Freelancer" means any registered professional offering services through the Platform.
  • "Services" refers to IT-related work, consulting, or any professional service provided via the Platform.
  • "Work Order" refers to a formal agreement/milestone contract between Clients and Codians.
  • "Reviews & Ratings" means client-generated evaluations of Codians after project completion.
  • "Escrow / Payment System" means Codians.ai's secure milestone-based payment processing system.

2. Eligibility

  • Users must be 18 years or older to use the Platform.
  • By using Codians.ai, you confirm you have the legal capacity to enter into binding contracts.
  • Clients and Codians must provide accurate and verifiable business or personal identification when requested.
  • Codians.ai reserves the right to suspend or terminate accounts for false, misleading, or fraudulent information.

3. Account Registration & Security

  • Users must register with accurate details including full name, email, and payment information.
  • You are responsible for maintaining the confidentiality of your login credentials.
  • You agree not to share or transfer your account access.
  • Codians.ai is not liable for unauthorized access caused by your negligence.

4. Platform Services

Codians.ai provides three primary services:

  1. Talent Hiring: Businesses can directly hire vetted Codians for specific roles (full-time, part-time, or contract).
  2. IT Project Outsourcing: Clients can post projects, receive bids, compare proposals, and award work orders on a milestone basis.
  3. Reviews & Ratings: Clients may rate and review Codians based on completed work to ensure transparency and credibility.

5. Client Obligations

  • Clients must ensure that posted projects are legal, clear, and accurate.
  • Clients must fund milestones before work begins.
  • Clients agree not to bypass the Platform to avoid fees.
  • Clients are solely responsible for ensuring compliance with local tax laws for payments.

6. Codian (Freelancer / Talent) Obligations

  • Codians must ensure that services provided are professional, lawful, and aligned with the agreed scope of work.
  • Codians must not submit fraudulent qualifications, portfolios, or misrepresent expertise.
  • Codians must respect intellectual property rights of Clients and not misuse confidential data.
  • Codians may not solicit Clients outside the Platform for services that originated on Codians.ai.

7. Payments, Fees & Escrow

  • Codians.ai uses a milestone-based escrow system for project payments.
  • Clients fund milestones, and funds are released upon Client approval of work.
  • Codians.ai charges a service/platform fee (percentage or flat rate) on each transaction.
  • Payment disputes must be raised within 7 days of milestone submission.
  • Codians.ai is not responsible for currency conversion charges or third-party transaction fees.

8. Reviews & Ratings

  • Clients may leave reviews and ratings after work completion.
  • Reviews must be fair, factual, and not defamatory.
  • Codians.ai reserves the right to remove abusive, misleading, or fake reviews.
  • Codians cannot demand removal of negative reviews unless proven false.

9. Intellectual Property (IP) Rights

  • Unless otherwise agreed in writing, all deliverables and work outputs belong to the Client upon full payment.
  • Codians retain ownership of their pre-existing IP, tools, code libraries, or frameworks.
  • Both Clients and Codians must respect third-party IP rights.

10. Confidentiality & Data Protection

  • Users agree to keep all confidential business information secure and not disclose it without consent.
  • Codians.ai complies with GDPR, CCPA, and other applicable data protection laws.
  • Personal data is only used for service delivery and legal compliance.

11. Prohibited Activities

Users must not:

  • Use Codians.ai for illegal, fraudulent, or harmful activities.
  • Post or share obscene, discriminatory, or offensive content.
  • Attempt to hack, disrupt, or misuse the Platform.
  • Circumvent payments through Codians.ai.

12. Liability & Disclaimers

  • Codians.ai acts as an intermediary platform and is not liable for the quality, legality, or outcome of services delivered by Codians.
  • Codians.ai is not responsible for delays, disputes, or non-performance between Clients and Codians.
  • The Platform is provided on an "as-is" basis with no warranties of uninterrupted service.

13. Dispute Resolution

  • In case of disputes, Codians.ai will act as a neutral mediator to review evidence and resolve issues fairly.
  • If unresolved, disputes shall be settled through binding arbitration under the laws of New Delhi, India (or jurisdiction agreed by both parties).

14. Global Use & Compliance

  • Users are responsible for compliance with local laws and regulations when using Codians.ai.
  • Codians.ai reserves the right to restrict access in certain regions due to regulatory limitations.

15. Termination

  • Codians.ai may suspend or terminate accounts for violations of these Terms.
  • Users may terminate their accounts at any time, subject to settlement of outstanding obligations.

16. Amendments

  • Codians.ai may update or amend these Terms at any time.
  • Users will be notified of significant changes via email or platform notifications.

17. Governing Law

These Terms are governed by and construed under the laws of India, with international applicability subject to relevant jurisdictions.
